1. Overview and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of ConstellAI (the "Platform"), operated by ConstellAI ("we," "our," or "us"). The Platform connects creators with brands and provides AI-powered tools to support content creation and monetization.

By registering an account or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Eligibility

To use ConstellAI, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements in your jurisdiction
• Provide accurate, current, and complete registration information
• Own or have authorized control over any social media accounts you connect to the Platform
• Have a minimum of 1,000 followers on at least one connected social media platform

3. Account Registration and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use or security breach. We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably suspect have been compromised.

4. Platform Use

By using ConstellAI, you agree to:

• Use the Platform lawfully and in good faith
• Provide accurate audience data, follower counts, and engagement metrics
• Not engage in fraud, misrepresentation, or any form of manipulation
• Not use the Platform to spam, harass, or harm other users or brands
• Comply with all applicable laws and platform-specific rules of any connected social media services

5. Brand Collaborations

ConstellAI facilitates connections between creators and brands. We do not guarantee that you will be accepted into any campaign or that any collaboration will result in payment.

When participating in brand collaborations:

• You agree to follow brand guidelines and deliver content as specified in the campaign requirements
• You are responsible for publishing content by agreed deadlines
• You represent that the content you create does not infringe any third-party rights
• Brands retain the right to approve or reject submitted content based on their requirements

ConstellAI acts as a facilitator and is not a party to the collaboration agreement between you and any brand.

6. Earnings and Payments

Creators may earn compensation for completed and approved brand collaborations. Specific earning amounts are determined on a per-campaign basis and will be communicated to you before participation.

• Payments are issued only for collaborations that have been completed and formally approved by the brand
• Payment timelines vary depending on campaign terms and processing requirements
• You are solely responsible for reporting and paying any taxes applicable to your earnings
• We reserve the right to withhold payment if we determine that a collaboration was completed in breach of these Terms or campaign requirements

7. Subscription Plans

We may offer paid subscription plans that provide access to additional brand opportunities and increased collaboration limits. Plan features, pricing, and availability are subject to change at any time. We will provide reasonable notice of material changes to paid plans.

8. Content Ownership and License

You retain full ownership of the content you create. By participating in brand collaborations, you grant the relevant brand a limited, non-exclusive, royalty-free license to use your content for their agreed marketing and promotional purposes.

The scope, duration, and territory of this license may vary depending on the specific campaign agreement. You should review campaign-specific terms before participating.

ConstellAI may display and process your content solely to the extent necessary to operate the Platform.

9. AI-Powered Tools

The Platform provides AI-based tools to assist you in generating and structuring content. You are solely responsible for reviewing, editing, and ensuring the accuracy of any AI-generated content before publishing. You must not publish AI-generated content that is misleading, defamatory, infringing, or otherwise harmful.

10. Prohibited Conduct

You may not:

• Use fake followers, bots, or artificial engagement to inflate your metrics
• Misrepresent your identity, profile, or audience data
• Violate any applicable law or regulation
• Infringe the intellectual property or privacy rights of any third party
• Attempt to reverse engineer, scrape, or interfere with the Platform's technical infrastructure
• Use the Platform for unauthorized commercial solicitation or spam

11. Disclaimers and No Guarantees

The Platform is provided "as is" and "as available." We make no warranties, express or implied, regarding:

• The availability, continuity, or error-free operation of the Platform
• The accuracy or completeness of any information on the Platform
• Your acceptance into any brand campaign or the amount of earnings you may receive
• The suitability of any collaboration for your particular needs

12. Limitation of Liability

To the maximum extent permitted by applicable law, ConstellAI and its officers, directors, employees, and affiliates shall not be liable for:

• Any indirect, incidental, consequential, or punitive damages
• Loss of income, revenue, or business opportunities
• Disputes between creators and brands
• Platform interruptions, data loss, or unauthorized access beyond our reasonable control

Our total liability to you for any claim arising under these Terms shall not exceed the amount you have paid to ConstellAI in the three (3) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless ConstellAI from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Platform, your content, your breach of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or permanently terminate your account if you violate these Terms, engage in fraudulent activity, or misuse the Platform. You may close your account at any time by contacting us. Upon termination, your right to use the Platform ceases immediately. Sections relating to content license, limitation of liability, and indemnification survive termination.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration or the courts of the jurisdiction in which ConstellAI is established, as applicable.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent platform notice at least 14 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
